Objective

This instant document outlines the terms and conditions governing the registration, profile management, booking, performance, and payment processes for professional(s) – individual or group (the "Artist"), who intend to provide their artistic services to users for events, performances, etc., including but not limited to group/solo singers, musical instrument players, dancers.

Applicability / Eligibility for Registration

To register as an Artist on Aruva, you must:

  • Be of legal age of above 18 years to enter contracts in their jurisdiction.
  • Possess the necessary skills, experience, and legal authorization including licensing and permits wherever applicable to provide their respective advertised services.
  • Be interested and capable of delivering as per expected and established standards.
  • Comply with any other relevant parameter required as per the registration process applicable.

Aruva reserves the right to verify any information provided by the Artist during registration or at any time thereafter. This may include background checks, reference checks, and skill assessments. Failure to provide accurate information or co-operate with verification processes may result in suspension or termination of the Artist's account.

Registration Process

  • Account Creation: An Artist shall create a profile with the necessary information (name, bio, portfolio, contact details, etc.).
  • Account Verification: An Artist shall be required to comply with the verification process for ensuring the authenticity of the Artist's credentials or identity.
  • Accurate Information: An Artist shall undertake to provide accurate and truthful information during registration.
  • Uploading the Artistic Content: An Artist shall upload their artistic content at ARUVA to showcase their work and offer their Artistic Services to potential Clients.
  • Account Security: An Artist shall undertake for maintaining the security of their account and must notify ARUVA if they suspect unauthorized access.

Applicability

These Terms shall apply to the following persons who are Indian Citizens:

  • Artist: All Artists who register themselves as an Artist at the Website, including but not limited to persons who intend to provide their Artistic services to users for events, performances, etc., through the online ARUVA operated by Krubinox Technologies Private Limited.
  • Client / Prospect / Prospective / Potential Client: Any Visitor who accesses ARUVA and undertakes the necessary procedures to become a Client and to avail the services, shall be deemed a Prospect, Client, or Potential Client.
  • Visitor: Any person who visits the Website (ARUVA) shall be regarded as a Visitor irrespective of whether any services are being availed by such person.

Contractual Agreement

All confirmed bookings through Aruva constitute legally binding agreements between the Artist & Client, facilitated by Aruva. The Artist agrees to perform services as per the confirmed booking details.

Expectation / Obligations from Artists

a. Content Ownership: An Artist affirms and undertakes that they are the sole creator and rightful owner of all artworks, designs, videos, and other intellectual property they upload or submit to the Aruva platform. The Artist agrees to indemnify and hold harmless Aruva from and against any claims, damages or liabilities arising out of any breach of these representations and warranties, including claims related to unauthorized or infringing content.

b. Accuracy of Information: An Artist is responsible for providing accurate, complete, and up-to-date information in their Artist profile, including their name, contact details, biography, calendar availability and any other relevant information requested by Aruva.

c. Professional Conduct: Artists are expected to maintain the highest standards of professionalism, punctuality and integrity throughout their engagement. This includes respectful interaction with clients, Aruva staff, venue staff & audiences as well as avoiding intentional damage to assets (owned or rented).

d. Booking Confirmation: Artists must confirm their acceptance of a booking request from a client within 24 hours of receiving the notification. Failure to confirm within this timeframe may result in the booking being automatically cancelled and made available to other Artists. This ensures a timely and reliable booking process for all parties.

e. Schedule Adherence: Artists must strictly adhere to the agreed upon date, time and duration of the performance or engagement as specified in the confirmed booking.

f. Delay: In the event of a delay (more than 30 minutes from scheduled time) attributable to the Artist (e.g., late arrival, failure to be ready for soundcheck on time, or technical issues stemming from the Artist's equipment), the Artist's performance duration may be reduced to adhere to the venue's schedule. The Artist is not entitled to their full fee if the performance is significantly shortened or if the client cancels the booking entirely due to the delay. Aruva reserves the right to deduct a portion of the Artist's fee to cover any financial liabilities incurred, including but not limited to compensating other service providers (e.g., sound engineers, technicians) whose schedules were affected. Delays will also negatively impact the Artist's ratings, reputation, and future booking opportunities on the platform.

g. Content Standards & Clarity:

  1. Be professional and relevant to their artistic services;
  2. Not violate any intellectual property rights of third parties;
  3. Not contain any offensive, discriminatory, illegal or inappropriate material;
  4. Artists are responsible for bringing any necessary personal equipment as per their declaration, unless explicitly stated that the client or venue will provide it;
  5. Adhere to Aruva's content guidelines as may be updated from time to time.

Along with descriptive content, an Artist is also expected to declare the list of Gear for Artist (GFA) which should include but not be limited to all required riders, list of equipment, necessary conditions (if applicable), etc. Any specific technical or hospitality requirements must be clearly communicated and agreed upon during the booking process in writing which shall be subject to mutual acceptance.

h. Pricing Structure: The pricing for services offered by an Artist shall be initially quoted by the Artist on Aruva platform.

i. Off-platform Negotiations: Artists are strictly prohibited from engaging in independent or off-platform negotiations with Clients without Aruva's prior written consent.Any violation of the instant Terms shall be deemed a breach of the Terms and Conditions of enrolment and may result in temporary suspension or permanent restriction of the Artist’s access to Aruva’s platform and services.

j. Tax Responsibility: Artists are solely responsible for all applicable taxes on their earnings generated through Aruva's platform, in accordance with the laws of India. Aruva will provide necessary tax documentation as required by law.

k. License Granting: An Artist shall unconditionally grant Aruva a non-exclusive, worldwide, royalty-free license to use, display, share, promote, and distribute the Artist's works uploaded on Aruva's platform and related marketing channels. This license includes the right for ARUVA to modify, adapt, or create derivative works from the Artist's content solely for the purposes of promoting, improving, or enhancing the visibility and functionality of the platform.

The Artist declares and warrants that they have all legal rights and authority to grant these rights to Aruva. In cases where the content was created collaboratively or as part of a group, the Artist affirms that all necessary permissions or assignments have been obtained from co-creators or contributors, and that the Artist is fully authorized to extend these rights to Aruva.

l. Quality of Fulfilment: An Artist is responsible for ensuring that the artistic services shall be rendered to the Client in a timely and proper manner. An Artist must ensure they meet all the delivery deadlines as outlined in Aruva's policies and deliver services consistent with the quality and description presented in their Aruva profile & proposal.

m. Compliance to Platform Policies: Artists agree to comply with all of ARUVA's rules, regulations, and policies, including any updates or modifications to those policies, which will be published on Aruva's Platform (website & application) as required.

While Aruva does not demand exclusive representation, Artists are encouraged to update their availability accurately to prevent double bookings. Artists agree to cooperate with Aruva in any investigations or inquiries into potential violations of Aruva's terms and conditions, including providing any necessary documentation or access to their account information.

n. Integrity & Accountability: An Artist must ensure that their account is not used for fraudulent or unethical activities, including but not limited to creating fake deliveries,engaging in prohibited conduct, or manipulating Aruva in any way.

o. Confirm Delivery: Artist to mark the event completed with necessary details (proof of delivery, invoices & bill submission) for Aruva to initiate the payment disbursement process.

p. Communication through Platform: All booking confirmations, updates and payment agreements must be finalized through Aruva platform to ensure transparency and accountability.

q. Prohibition of Circumvention: Artists are strictly prohibited from soliciting, accepting, or negotiating bookings, payments, or any other engagement terms with a Client outside of the Aruva platform for a service initiated through Aruva. All fees and service details must be finalized and processed exclusively through the Aruva platform. Any attempt to circumvent the platform to avoid service fees or for any other purpose will be considered a material breach of this policy, leading to a permanent ban of the Artist from the platform and potential legal action to recover lost fees.

r. Maintenance of Transparency: Artists must confirm their commitment to implement transparency with reference to event-related information booked through Aruva.

s. Account Termination: Artists may de-activate or request deletion of their ARUVA account anytime by serving a notice period to allow smooth processing of ongoing bookings/transactions.

Aruva as Facilitator

The Artist acknowledges and agrees that Aruva functions solely as an intermediary and facilitator for connecting Artists with clients. Aruva does not provide any performance, event, or related services directly. Furthermore, Aruva does not guarantee or assure any specific number or volume of bookings on behalf of clients or end users. All bookings and engagements are made exclusively between the Artist and the Client.

Payment Disbursement

Payment disbursement process is expected to be completed within 7 days from the Artist marking the event delivered on Aruva platform and submitting invoice for the services delivered (all charges included), if applicable (unless any dispute is raised by the client). Payments are to be disbursed to the Artist's registered bank account on Aruva's Platform.

Aruva will provide written notice to the Artist stating the reason for withholding payment, if any, within 7 days of the event being marked completed by the respective Artist.

All payments from Clients to Artists for confirmed bookings must be processed through Aruva's secure payment platform. Direct payments outside the platform are strictly prohibited.

Adjustment of Charges

Aruva reserves the right to modify, revise, or update its Platform Fees and other applicable charges at any time, at its sole discretion and without prior notice. However, such changes shall not apply retroactively to bookings that have already been confirmed and accepted through the Aruva platform prior to the effective date of the modification. The fee structure applicable at the time of booking confirmation shall remain valid and binding for that specific transaction.

TDS Deductions (Classification & Rates)

Aruva classifies payments into categories for accurate TDS calculation under the Income Tax Act, 1961 (Sections 194J and 194C).

Mandatory Compliance Thresholds:

  • Section 194C: TDS must be deducted if total annual payments to a single payee exceed ₹100,000 OR a single payment exceeds ₹30,000.
  • Section 194J: TDS must be deducted if total annual payments to a single payee exceed ₹30,000.
  • If a payee does not provide a valid PAN, the TDS rate defaults to 20%.

Policy Mandate: All finance personnel must use the 'Nature of Service' and 'Payee Type' fields in the ARUVA payment system to ensure the correct TDS rate is applied for every transaction.

Right to Remove Content

Aruva reserves the right to monitor and remove any content that violates Aruva's standards or any applicable laws and may terminate an Artist's account if repeated violations occur. Aruva may not pre-screen content but retains the right to remove or take necessary actions if content uploaded is in breach of our policies.

Rescheduling Policy (Artist-Initiated)

In the event that an Artist is unable to fulfill a confirmed booking due to an unavoidable circumstance that does not qualify as a Force Majeure event (e.g., a personal emergency), the Artist must notify Aruva and the Client immediately. This is not a guaranteed right, but a formal request for rescheduling. Aruva will, at its discretion, work with the Client to find a mutually agreeable new date. If a new date cannot be confirmed, the booking will be treated as an Artist-initiated cancellation as per the cancellation policy.

Cancellation by Artist

While Aruva strongly discourages Artist-initiated cancellations due to the impact on Clients and Aruva's reputation, certain circumstances such as natural disasters, curfew-related commute restrictions, flooding, or severe illness with a valid medical certificate may arise. Artists must notify Aruva immediately. Aruva will work to find a suitable solution, which may include rescheduling or full refund to the Client.

Consequences:

  • More than 7 days before event: The Artist may be subject to a penalty fee or a negative impact on their Aruva rating/profile visibility. The Client will receive a full refund if a suitable replacement is not accepted by the Client. Aruva reserves the right to recover any lost service fees or additional costs incurred due to the Artist's cancellation.
  • Less than 7 days before event: Aruva may forfeit the full booking fee, and the Artist may face a significant penalty, temporary suspension, or permanent removal from the platform. The Client will receive a full refund.

Ratings & Review

Clients may provide ratings & reviews based on their experience with the Artist's performance and professionalism.

Monitoring of Communications & Dispute Resolution

Aruva reserves the right to monitor, record, and review all communications through Aruva's platform for quality assurance, training, and compliance purposes. In case of disputes, Aruva encourages mediated communication to resolve issues. If mediation fails or is not opted for, Aruva reserves the right to make a binding decision on the dispute, including adjustments to payments or refunds, based on the evidence provided by both parties.

Any dispute or grievance related to the service or event delivery must be formally raised with Aruva within seven (7) calendar days from the date of the event delivery. The instant Terms does not limit the Artist's or Client's right to pursue legal remedies outside of Aruva's platform in accordance with applicable laws.

Indemnification

Artists agree to indemnify and hold ARUVA, its officers, directors, employees, agents, and affiliates harmless from any claim, demand, or damage (including attorneys' fees) arising out of the Artist's use of the Website or violation of these Terms.

Refund Policy & Policy Updates

Survival

Any provisions of these Terms & Conditions that by their nature should survive termination shall survive, including but not limited to those relating to payment obligations, intellectual property rights, confidentiality, indemnification, limitation of liability, dispute resolution, and governing law. These provisions remain in effect even after a user's account is terminated or their participation in ARUVA services ceases.

Assignment

Neither party may assign any of its rights or transfer any of its rights and obligations under these Terms without the written consent of the other.

Privacy Policy

Your use of the Website is also governed by our Privacy Policy, which can be found on the Privacy Policy page. By using the Website, you consent to the practices described in the Privacy Policy.

Link to Third Party Sites

The Website may contain links to third-party websites that are not owned or controlled by Aruva. Aruva does not endorse or assume responsibility for the content, privacy policies, or practices of these websites. You access such third-party websites at your own risk.

Force Majeure

Neither party shall be held liable for failure to perform any obligation due to events beyond their reasonable control, including but not limited to natural disasters, strikes, and government actions.

Limitation of Liability

In no event shall Aruva or its affiliates be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the use of or inability to use the Website, even if Aruva has been advised of the possibility of such damages.

Change to Terms

Aruva reserves the right to modify or replace these Terms at any time without prior notice. Your continued use of the Website after any such changes constitutes your acceptance of the new Terms.

Governing Law

Artists must comply with all applicable laws and regulations, including but not limited to labor laws, tax laws & performance permits. These Terms shall be governed by and construed in accordance with the jurisdiction of Delhi, India, without regard to its conflict of law principles.
